Welcome to the User Agreement for HR Business Network. The Terms & Conditions constitutes the entire agreement between you and the HR Business Network and governs your use of the Network’s service, superseding any prior agreements between you and The Sunday Times HR Business Network.

This agreement describes the terms on which this web site and our services may be accessed and used. The HR Business Network is for member use only. In order to become an HR Business Network member, you must read and accept all of the terms and conditions in this agreement and the Privacy Policy. In the event of any inconsistency between the HR Business Network Privacy Policy and the Terms & Conditions, the Terms & Conditions will govern. No content within this Agreement will be considered to confer any third-party rights or benefits. If you do not agree to all the terms in this Agreement, you may not use nor access our services.

We reserve the right to modify this Agreement at any time, and without prior notice, by posting amended terms on the HR Business Network website. If you continue to use the website, this will indicate that you have accepted the amendments to the Terms & Conditions.

Membership Eligibility
To be eligible to join the HR Business Network, professionals must meet the strict membership criteria. Additionally, Project Leaders reserves the right to suspend or remove any member at any time from the network if the Terms & Conditions are infringed. Selling, trading, or transferring your HR Business Network membership or profile to another party is prohibited. If you do not qualify as a member, you may not access the full HR Business Network Service.

Nature of Our Service
The Sunday Times HR Business Network is an online service offered to allow HR professionals to locate and contact other peers more effectively, as well as offering the possibility to attend the Network’s annual events (the ‘HR Business Network’). Whether looking to share expertise, areas or interest or build individual networks, HR Business Network members can make contact with similar HR professionals who are members of the HR Business Network Service.

Access to Our Service and Events
Use of manual or automated software, devices, or other processes to “crawl” or “spider” any web pages contained in the HR Business Network website is strictly prohibited. You agree not to monitor or copy, or allow others to monitor or copy, our web pages or the content included herein. You also agree not to reproduce, simulate the appearance or services of the HR Business Network. Furthermore, you agree not to take any action that may interfere with the adequate functioning of or places an unreasonable load on our infrastructure, including but not limited to unsolicited communications, attempts to gain unauthorised access, or transmission or activation of computer viruses.

As a member of the HR Business Network, you will be invited to attend any of the networking events held by the HR Business Network, as part of your membership package. Events will be advertised in advance on the HR Business Network. Attendance to the events is secured on a first come, first serve basis and will be restricted to 100 delegate members per briefing event. The HR Business Network does not guarantee availability at any of its events, however we will be committed to making six briefing events available to all members.

Conduct of Use
The Terms & Conditions dictate the use of the HR Business Network. The HR Business Network may refuse service without prior notice to any user for any or no reason.

You agree that you are solely responsible for maintaining the confidentiality of your password and profile, and you take full responsibility for any activities carried out under your password or account with or without your knowledge. If you knowingly provide your login and password information to another person, your account privileges may be suspended temporarily or terminated. You agree to inform HR Business Network immediately of any unauthorised use of your password or profile or any other illicit activity. The HR Business Network cannot and will not be liable for any loss or damage incurred from your failure to comply with this section.

HR Business Network contains networks, profiles and other message or communication facilities. You understand and agree to use the HR Business network in a lawful way and to only post material that is proper and relevant to each section. As an example, when communicating with other members you agree not to:

    • Post unlawful, defamatory, abusive, obscene, discriminatory, indecent or otherwise objectionable content or information.
    • Use the HR Business Network for any illegal purpose, including but not limited to conspiring to violate laws.
    • Falsely state, impersonate, or otherwise misrepresent your identity, including but not limited to the use of a pseudonym, or misrepresenting your current or previous positions and qualifications, or your affiliations with a person or entity, past or present.
    • Upload, post, email, transmit or otherwise make available any content or initiate communications which include information that you do not have the right to disclose or make available under any law or under contractual or fiduciary relationships (such as insider information, or proprietary and confidential information learned or disclosed as part of employment relationships or under nondisclosure agreements).
    • Upload, post, email, transmit or otherwise make available any content or initiate communication that infringes upon patents, trademarks, trade secrets, copyrights or other proprietary rights.
    • Upload, post, email, transmit or otherwise make available any unsolicited or unauthorised advertising, promotional materials, “junk mail,” “spam,” “chain letters,” “pyramid schemes,” or any other form of solicitation.
    • Upload, post, email, transmit or otherwise make available any material that contains software viruses or any other computer code, files or programs designed to interrupt, destroy or limit the functionality of any computer software or hardware or telecommunications equipment.
    • Stalk or harass anyone.
    • Forge headers or otherwise manipulate identifiers in order to disguise the origin of any communication transmitted through the HR Business Network.
    • Post content in fields that aren’t intended for that content. Example: putting company or member name in sector field.
    • Interfere with or disrupt the HR Business Network or servers or networks connected to the HR Business Network, or disobey any requirements, procedures, policies or regulations of networks connected to the HR Business Network.

International Use
Acknowledging the international reach of the Internet, you agree to abide by all applicable local rules including but not limited to rules regarding online conduct and acceptable content. Specifically, you agree to abide by all applicable laws regarding the transmission of technical data exported from the United Kingdom or the country in which you reside.

Information Posted on the HR Business Network
Whilst using the HR Business Network, members may provide personal information which may be accessed by other consumers (see Privacy Policy to learn more about information collected on this website). You understand that by posting information on the HR Business Network website or otherwise providing materials to HR Business Network, you are offering Project Leaders London Limited a royalty-free, unlimited, ongoing license to use this information in the course of offering the HR Business Network service. The HR Business Network retains the right to, edit, excerpt, or translate any content provided by you. You understand that any messages public or private sent through the HR Business Network constitute the sole responsibility of the person from which such content originated and that the HR Business Network will not be answerable to any errors or omissions in any content. You understand that the HR Business Network cannot guarantee the identity of any other users whom you may interact with in the course of using the HR Business Network. Furthermore, we cannot guarantee the authenticity of any data or information which users may provide about themselves or others.

Implementation of Agreement and Monitoring
We have the right to monitor all activity and content related to the HR Business Network, if we feel it is necessary. We are not able to monitor all communications and the entirety of the content; therefore we cannot guarantee its accuracy, quality or integrity. We are aware that community standards vary and individuals sometimes choose not to comply with our Terms & Conditions, in the process of using our website; you may come across content that you find offensive or objectionable. You can contact our Helpdesk to let us know of content that you find objectionable via your member profile page or by phone. We will investigate all complaints and violations of our Terms that come to our attention and will take any action that we believe is appropriate, including, but not limited to issuing warnings, removing the content or suspending or terminating memberships. However, because situations and interpretations vary, we also reserve the right not to take any action. Under no circumstances will we be answerable in any way for any content, including, but not limited to, any errors or omissions in any content, or any loss or damage of any kind incurred as a result of the use of, access to, or denial of access to any content on the website.

HR Business Network Communications
In the course of providing you services, the HR Business Network will need to communicate with you via email and or post (see our Privacy Policy to learn more about communications). You agree to receive emails and letters which are specific to your membership and crucial for the normal working of the HR Business Network, including a series of welcome emails which help inform new users about various features of the HR Business Network. You also agree to have your name listed in certain communications which you may initiate whilst using the HR Business Network.

Membership Fees
Online membership for the HR Business Network is FREE. Other services are provided for a fee. The HR Business Network reserves the right to charge for the HR Business Network events or any portion thereof, modify the pricing of, add to, or discontinue the HR Business Network or any portion thereof without prior notice.

Compensation
By accepting these Terms & Conditions, you agree to compensate and otherwise hold harmless News International and Project Leaders London Limited, its officers, employees, agents, subsidiaries, affiliates and other partners from any direct, indirect, incidental, special, consequential or exemplary damages resulting from i) your use of the HR Business Network; ii) unauthorised access to or alteration of your communications with or through the HR Business Network, or iii) any other area linked to the HR Business Network. Any business transactions which may arise between users from their use of the HR Business Network are the sole responsibility of the users involved.

Without limitation of the Terms & Conditions laid out in our Privacy Policy, you understand and agree that the HR Business Network may disclose personally identifiable information if required to do so by law or in the good faith belief that such disclosure is reasonably necessary to comply with a legal process, implement these Terms & Conditions, or protect the rights, property, or safety of the HR Business Network, its users, and the public.

Cessation of Membership
You agree that HR Business Network may, with or without any cause or prior notification, immediately suspend your HR Business Network membership and access to the HR Business Network. Without limiting to the following, any of these actions will lead to a cessation by HR Business Network of a user’s use of the HR Business Network (a) breaches or violations of the Terms & Conditions or other included agreements or guidelines, (b) requests by law enforcement or other government agencies, (c) a request by you (self-initiated member deletions), (d) unexpected technical issues or problems, and (e) extended periods of inactivity. Termination of your HR Business Network membership includes removal of access to all offerings within the HR Business Network and may also exclude you from further use of the HR Business Network. Furthermore, you agree that all cessations shall be made in the HR Business Network’s sole discretion and that the HR Business Network shall not be answerable to you nor any third-party for any cessation of your account or access to the HR Business Network.

Disclaimer of Warranties
YOU UNDERSTAND AND AGREE THAT THE HR BUSINESS NETWORK IS A SERVICE OFFERED ON AN “AS IS” AND “AS AVAILABLE” BASIS AND THAT THE HR BUSINESS NETWORK DOES NOT TAKE ANY RESPONSIBILITY FOR TIMELY OR PROPER DELIVERY, OR RETENTION OF ANY MEMBER INFORMATION OR COMMUNICATIONS BETWEEN MEMBERS. THE HR BUSINESS NETWORK WILL NOT BE ANSWERABLE FOR THE EXISTENCE OR VERACITY OF ANY COMMUNICATIONS BETWEEN ITS USERS.THE HR BUSINESS NETWORK EXPRESSLY DISCLAIMS ALL WARRANTIES OF ANY KIND, WHETHER SPECIFIC OR IMPLIED, INCLUDING, BUT NOT LIMITED TO THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE AND NON-INFRINGEMENT.

THE HR BUSINESS NETWORK OFFERS NO WARRANTY THAT (i) THE HR BUSINESS NETWORK WILL MEET YOUR SPECIFIC REQUIREMENTS, (ii) THE HR BUSINESS NETWORK WILL BE ONGOING, PROMPT, SECURE, OR FREE OF ERRORS, (iii) THE RESULTS FROM USE OF THE HR BUSINESS NETWORK WILL BE ACCURATE OR RELIABLE, (iv) THE CALIBRE OF ANY OF THE EVENTS, SERVICES, INFORMATION, OR OTHER MATERIAL PURCHASED, ACCESSED OR RECEIVED BY YOU FROM THE HR BUSINESS NETWORK WILL MEET YOUR EXPECTATIONS, AND (V) ANY ERRATUM IN THE SOFTWARE WILL BE CORRECTED.

YOU UNDERSTAND AND AGREE THAT ANY MATERIAL OR INFORMATION OBTAINED BY ANY MEANS FROM HR BUSINESS NETWORK IS DONE SO AT YOUR OWN DISCRETION AND RISK AND THAT YOU WILL BE SOLELY RESPONSIBLE FOR ANY DAMAGE TO YOUR COMPUTER SYSTEM OR LOSS OF DATA THAT RESULTS FROM THE DOWNLOAD OF ANY SUCH MATERIAL.
NO ADVICE OR INFORMATION, IN ANY FORM, OBTAINED BY YOU FROM THE HR BUSINESS NETWORK OR THROUGH OR FROM THE HR BUSINESS NETWORK SHALL SUPPOSE ANY WARRANTY NOT SPECIFICALLY STATED IN THESE TERMS & CONDITIONS.
CERTAIN JURISDICTIONS FORBID THE EXCLUSION OF CERTAIN WARRANTIES OR THE LIMITATION OR EXCLUSION OF LIABILITY FOR INCIDENTAL OR CONSEQUENTIAL DAMAGES. ACCORDINGLY, SOME OF THE ABOVE LIMITATIONS MAY NOT APPLY TO YOU.

Answerability
YOU EXPRESSLY UNDERSTAND AND AGREE THAT THE HR BUSINESS NETWORK SHALL NOT BE ANSWERABLE FOR ANY DIRECT, INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL OR EXEMPLARY DAMAGES, INCLUDING BUT NOT LIMITED TO, DAMAGES FOR, GOODWILL, USE, LOSS OF PROFITS, DATA OR OTHER INTANGIBLE LOSSES (EVEN IF HR BUSINESS NETWORK HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES). SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OF THE LIMITATION OR EXCLUSION OF LIABILITY FOR INCIDENTAL OR CONSEQUENTIAL DAMAGES. ACCORDINGLY, SOME OF THE ABOVE LIMITATIONS MAY NOT APPLY TO YOU. UNDER NO CIRCUMSTANCE WILL THE HR BUSINESS NETWORK’S TOTAL CUMULATIVE COSTS EXCEED £100.

Legal Regulations
The Terms & Conditions agreed between you and the HR Business Network will be controlled by and interpreted conforming to the laws of the United Kingdom.

General Information
The Sunday Times HR Business Network, the HR Business Network logo, and other HR Business Network logos and names are copyrighted trademarks of News International and Project Leaders London Limited. You agree not to copy, show, emulate or use these trademarks in any way without HR Business Network’s prior, written permission. The titles of the sections within these terms & conditions are displayed for your convenience only and hold no legal effect.
